Wholesale & Distribution Trading Terms
Introduction
These Wholesale & Distribution Trading Terms ("Terms") govern the sale and distribution of CURLHALO products to wholesale and distribution partners ("Buyer"). By opening an account, placing an order, or receiving products from CURLHALO Limited (“CURLHALO”), the Buyer agrees to comply with these Terms.
These Terms apply to all transactions unless otherwise agreed in writing by CURLHALO. CURLHALO reserves the right to amend these Terms at any time, with updated versions available on the current page.
Definitions
For the purposes of these Terms:

"CURLHALO" refers to CURLHALO Limited, its subsidiaries, and affiliated entities.

"Buyer" refers to the wholesale or distribution partner purchasing products for resale from CURLHALO.

"Products" refers to all goods supplied by CURLHALO under these Terms.

"Territory" refers to the geographic region where the Buyer is authorised to sell CURLHALO products.

"Order" refers to any purchase request submitted by the Buyer and accepted by CURLHALO.

"MAP Policy" refers to the Minimum Advertised Price policy, if applicable.

"Terms" refers to these Wholesale & Distribution Trading Terms, as amended from time to time.
Sales Channels
The Buyer agrees not to list, advertise, or sell any CURLHALO products on Amazon.co.uk or any other Amazon marketplace without prior written consent from CURLHALO.
If the Buyer stocks or displays CURLHALO accessories, including but not limited to display stands, the Buyer agrees that such accessories shall not be used to merchandise or promote products of any other brand.
Pricing Compliance
The Buyer agrees to maintain brand integrity by adhering to CURLHALO’s Minimum Advertised Price (MAP) policy.
Intellectual Property Protection
The Buyer shall not use CURLHALO’s trademarks, logos, product images, or marketing materials in any manner that is misleading, damaging, or inconsistent with CURLHALO’s brand guidelines.
Any use of CURLHALO’s intellectual property for promotional purposes must receive prior written approval.
The Buyer shall not register, purchase, or use any domain name, social media handle, or online identity that includes the CURLHALO name or any variation, misspelling, or close imitation thereof.
Any existing domains or online identities using CURLHALO branding in any capacity without authorisation must be transferred to CURLHALO immediately and upon request.
The Buyer shall not rebrand, alter, or modify CURLHALO products, packaging, or marketing materials without prior written consent.
Any unauthorised reproduction or distribution of CURLHALO’s trademarked/copyrighted materials is strictly prohibited.
Product Presentation & Merchandising
The Buyer agrees to display CURLHALO products in a manner consistent with the brand’s guidelines and shall not use any supplied or purchased CURLHALO point of sale materials to promote competitor products, such as but not limited to display units.
Returns & Warranty Handling
The Buyer must follow CURLHALO’s return and warranty process for defective or damaged products. Unauthorised returns or reselling of defective products is prohibited.
Territorial Restrictions
The Buyer agrees to sell CURLHALO products only within the agreed-upon geographical region and not distribute outside of this territory without prior written approval.
Violation & Termination
If the Buyer fails to comply with any provision of these Terms, including but not limited to unauthorised resale, territorial violations, payment defaults, or misuse of CURLHALO branding, CURLHALO reserves the right to take corrective action, which may include:

Issuing a formal warning and requiring immediate corrective action.

Suspending or restricting future orders.

Revoking the Buyer’s right to sell CURLHALO products.
CURLHALO reserves the right to terminate the Buyer’s account and all trading rights with immediate effect if:

The Buyer sells CURLHALO products on Amazon.co.uk or any other unauthorised marketplace.

The Buyer repeatedly breaches these Terms despite prior warnings.

The Buyer engages in fraudulent, deceptive, or damaging activities that negatively impact CURLHALO’s brand or business.

The Buyer becomes insolvent, enters liquidation, or is otherwise unable to meet its financial obligations.
In the event of a breach, CURLHALO reserves the right to pursue legal action to enforce these Terms and seek damages where applicable. Any disputes arising under these Terms shall be governed by the laws of England and Wales, with jurisdiction exclusively in the courts of England and Wales.
